1. Parties and acceptance
These Terms are between the customer named on the invoice or payment statement (the “Customer”) and the provider identified on that invoice or payment statement (the “Operator”). A licensed payment or invoicing intermediary may appear as the party collecting payment; the Operator provides the Service unless the invoice says otherwise.
You accept these Terms by paying the invoice (or authorised payment request), or by connecting Instagram after receiving access. If you disagree, do not pay or connect.
2. The Service
Non-exclusive access to DM Sales Assistant for typically one Instagram Business account: settings cabinet, inbound Direct via messaging intermediaries, AI-assisted replies, conversation logs as needed, and memory features included in the plan. Day-to-day configuration help is available via the in-cabinet assistant. Go-live includes personal setup notes and product consultation; this is not a support SLA or 24/7 helpdesk. The Service depends on Meta / Instagram and third-party networks; uninterrupted availability is not guaranteed.
3. How to start and pricing
Public demo → optional practice cabinet (settings, Instagram connect after payment, go-live parameters; you may send a .txt of FAQs or offers for review) → manual invoice (request via the practice cabinet, or Talk to sales for agencies / multi-IG) → payment → Instagram connect link → live Direct assistant for the paid period. Connect is only after payment. No card checkout on this site.
Unless otherwise invoiced: setup $100, then $100/month for the full product. Fair-use limit: 100 unique buyers per day (overflow queues to the next day — nothing is dropped; no reply the same day after the limit). No card checkout on this site. Fees are generally non-refundable except where mandatory law requires otherwise or the Operator fails to provide the Service for reasons solely attributable to the Operator. Details: /pricing.
4. Customer responsibilities
You must comply with Meta / Instagram rules; keep your marketing lawful; control prompts and knowledge-base content; and obtain any end-user consents or notices required for messaging. Do not use the Service for spam, unlawful content, or sensitive data unless lawful and agreed in writing. You remain responsible for what the assistant says based on your configuration.
5. Data roles
For Instagram Direct end-user data, you are the controller and the Operator is the processor on your instructions. For your account and billing data, the Operator acts as an independent controller. See Privacy.
6. Disclaimers and liability
Service is provided “as is”. The Operator is not liable for Instagram blocks caused by your content or Meta policy. AI outputs are not guaranteed accurate. To the maximum extent permitted by law, aggregate Operator liability is limited to fees paid in the three months before the claim (or the last paid period, if shorter). You indemnify the Operator for claims arising from your content, Meta violations, or missing end-user consents, except for the Operator’s wilful misconduct.
7. Term and deletion
The Agreement runs for the paid period and continues with further payment. You may delete your account in Legal (immediate, permanent). The Operator may suspend unpaid, abusive, or legally risky accounts; app data may be kept up to 30 days, then wiped. Aggregated anonymized metrics may remain.
8. Sanctions
You confirm you are not a prohibited party under applicable sanctions or export rules. The Operator may refuse or terminate service where continued performance would create legal risk.
9. Governing law
Governed by the law stated on the invoice, or if none, the place of establishment of the Operator as identified on the invoice or payment statement. Disputes: good-faith negotiation for 30 days, then courts of that jurisdiction unless arbitration is agreed in writing. CISG does not apply.
